The Central Economic-Administrative Tribunal (TEAC), in its decision of 19/02/2026 (RG 7969/2022), holds that the special tax regime of Law 49/2002 on the tax regime of non-profit entities and tax incentives for patronage does not apply automatically to non-resident foundations. It is an elective regime: access to the exclusion from Non-Resident Income Tax (IRNR) requires the foundation to have opted for it, together with compliance with the related registration and information obligations. Non-application where the election has not been made is not discrimination contrary to EU law, since resident and non-resident entities are subject to the same formal requirement. The decision reiterates the criterion laid down in those of 25/11/2025 (RG 5083/2022) and 18/12/2025 (RG 3724/2022).
The practical consequence, in planning terms, calls for acting in advance. The election is only available to entities resident in the EU or the EEA and to those operating in Spain through a permanent establishment (article 2(f) and (g) of Law 49/2002). Before any gratuitous acquisition (inheritance or gift) of assets in Spain by a non-resident foundation, it is advisable to review its census position in Spain, check substantive compliance with the requirements of Law 49/2002 and, where appropriate, communicate the election through the relevant census declaration (article 1 of Royal Decree 1270/2003) and meet the corresponding information obligations. The election takes effect for the tax period ending after that declaration; once the period in which the acquisition took place has closed, it can no longer reach it (article 1(2) and (3) of Royal Decree 1270/2003).
