Mixed holding and intragroup transfer of shares: differentiated sector under VAT, save an autonomous economic unit

The Spanish Supreme Court, in judgment no. 308/2026 of 11/03/2026 (cassation appeal 4660/2023), lays down case-law doctrine whereby the intragroup transfer of shares by a mixed holding company (an entity combining the holding of shares with an additional economic activity, typically the provision of services to the group) falls, as a general rule, within the differentiated sector of financial activity for Value Added Tax (VAT) purposes, with the pro rata regime of that sector. The judgment admits, however, an exception: the transfer may fall outside the scope of VAT where it entails the indirect transfer of an autonomous economic unit, under article 7.1 of the VAT Act (LIVA), read in the light of the CJEU judgment in Christel Schriever (case C-444/10, 10/11/2011) on article 5(8) of the Sixth Directive (now article 19 of Directive 2006/112/EC), which looks at whether what is transferred is sufficient to carry on an autonomous economic activity. In the case at hand, the Court found no autonomous economic unit, dismissed the appeal and upheld the assessment.

The practical consequence affects the planning of any intragroup transfer of shares managed from a mixed holding. The characterisation (financial differentiated sector with special pro rata, or a transaction outside the scope of VAT as an autonomous economic unit) requires a case-by-case analysis. The examination must verify whether the transaction effectively transfers the material and human resources necessary for the continuity of the underlying business. It is advisable to carry out this analysis before closing the operation and to document contemporaneously the elements supporting the characterisation adopted.
